Terms and Conditions

These Terms and Conditions ("Terms") govern your use of Properly, a text-message based property management service available at properly.rentals and by SMS (the "Service"). By using the Service, including by sending a text message to a Properly number, you agree to these Terms and to our Privacy Policy.

1. The Service

Properly lets landlords and tenants communicate about a tenancy by text message. Through the Service you can report maintenance issues, ask about rent, receive reminders, and receive links to pay rent or sign lease documents online. Properly is a communication and record-keeping tool. It is not a party to any lease and does not provide legal, financial, or emergency services.

You must be at least 18 years old and a landlord, property manager, or tenant (or their authorized representative) of a property managed with the Service.

4. Automated assistance

Some replies are generated by an automated AI assistant acting on behalf of your landlord. The assistant can log requests, share information from your tenancy record, and forward messages to your landlord. It cannot modify your lease, waive rent, or make binding commitments on behalf of the landlord. If the assistant provides information that conflicts with your lease, the lease controls. Your landlord reviews requests and is responsible for decisions about the property.

5. Emergencies

Do not rely on the Service for emergencies. If there is a fire, gas leak, flooding, medical emergency, or threat to safety, call 911 or your local emergency number first. Messages sent through the Service may be delayed or undelivered.

6. Payments

Online rent payments are processed by a third-party payment processor under its own terms. Properly does not hold funds. A payment is complete when confirmed by the processor. Your lease governs rent amounts, due dates, and any late fees; the Service only records and reminds.

7. Lease documents

Lease documents shared through the Service are provided by your landlord. Electronic signatures collected through the Service are intended to be legally binding to the extent permitted by applicable law, including the U.S. ESIGN Act and UETA. You may request a paper copy from your landlord.

You are responsible for the accuracy of information you provide. Information shown by the Service (such as rent status) is based on records entered by your landlord and may lag behind real-world events. If you believe a record is wrong, contact your landlord.

10. Intellectual property

The Service, including its software, design, and content (excluding your messages and documents), is owned by Properly and protected by applicable law. You receive a limited, non-exclusive, non-transferable license to use the Service as permitted by these Terms.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT MESSAGES WILL BE DELIVERED, THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT AUTOMATED RESPONSES WILL BE ACCURATE.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PROPERLY AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR HOUSING, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow these limitations, so they may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Properly and its operators from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Service or violation of these Terms.

14. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or when your tenancy ends. You may stop using the Service at any time, including by replying STOP.

15. Changes to these Terms

We may update these Terms from time to time. The date at the top shows the latest revision. Continued use of the Service after changes take effect constitutes acceptance.

16. Governing law

These Terms are governed by the laws of the State in which the rental property is located, without regard to conflict-of-law rules. Any dispute will be resolved in the courts of that State.
